REGISTRATION OF ADDITIONAL SECURITIES – STATEMENT PURSUANT TO GENERAL INSTRUCTION E OF FORM S-8
MiMedx Group, Inc. (the “Company”) has previously registered an aggregate of 22,500,000 shares of the Company’s Common Stock, par value $0.001 per share (the “Common Stock”) by filing with the Securities and Exchange Commission (i) a Registration Statement on Form S-8 (File No. 333-189784) on July 3, 2013 (the 2013 Registration Statement), (ii) a Registration Statement on Form S-8 (File No. 333-183991) on September 19, 2012 (the “2012 Registration Statement”), and (iii) a Registration Statement on Form S-8 (File No. 333-153255) on August 29, 2008 (the “2008 Registration Statement”), in each case, relating to shares of Common Stock to be offered and sold under the Company’s Assumed 2006 Stock Incentive Plan, as amended (the “Incentive Plan”). The Company is hereby registering an additional 4,000,000 shares of Common Stock available for issuance under the Incentive Plan.
